Terms and Conditions of Sale

  1. Acceptance of Orders
    All purchase orders are subject to review and written acceptance. Acceptance is contingent upon the ability to meet specified technical, quality, and delivery requirements.

  2. Quality Management System
    All work is performed in accordance with our Quality Management System compliant with AS9100 standards, unless otherwise specified by the customer.

  3. Specifications and Drawings
    Customer-supplied drawings and specifications shall define requirements. The Company is not responsible for design deficiencies in customer-provided data.

  4. Inspection and Testing
    Products are inspected per applicable specifications. Certification and test reports may be provided as required.

  5. Traceability
    Material and process traceability will be maintained in accordance with applicable requirements.

  6. Nonconforming Product
    Customers must notify the Company of nonconforming product within a reasonable period. Returns require prior authorization.

  7. Delivery
    Delivery terms shall be defined in the quotation. Risk of loss transfers per agreed shipping terms.

  8. Customer-Supplied Property
    The Company is not liable for defects resulting from customer-supplied materials or components.

  9. Confidentiality and Controlled Information
    All customer data will be handled as confidential. Controlled technical data will be managed in compliance with applicable regulations.

  10. Export Compliance
    The Company complies with all applicable export control laws, including ITAR. Customers are responsible for ensuring proper authorization for controlled data transfer.

  11. Limitation of Liability
    Liability shall not exceed the value of the supplied goods. The Company is not liable for consequential or incidental damages.

  12. Flowdown Requirements
    Applicable customer and regulatory requirements will be flowed down to sub-tier suppliers as required.

  13. Governing Law
    These terms shall be governed by the laws of the State of Ohio.

  14. All suppliers which provide products and services to Formica Defense agree to comply with all applicable requirements, including drawings, specifications, process requirements, and revisions referenced in any and all purchase orders. 

    • All suppliers shall:

      • Use approved or specified materials, processes, and sources as required.

      • Notify Formica Defense of any nonconforming product prior to shipment.

      • Notify Formica Defense of any changes in product definition, manufacturing process, suppliers, manufacturing location, or quality management system that may affect product conformity.

      • Flow down all applicable requirements to sub-tier suppliers.

      • Maintain records associated with this order for a minimum of 5 years and provide access upon request.

      • Ensure personnel are aware of:

        • their contribution to product or service conformity,

        • their contribution to product safety,

        • and the importance of ethical behavior.

  15. Supplier shall maintain a quality management system appropriate to the products or services provided. Additional requirements may be defined in Formica Defense Supplier Quality Requirements and/or Quality Manual.
